SKYE PARTNERS has advised NORD Holding Small Cap GmbH & Co. KG (“NSC“) on the acquisition of shares, in the context of an owner-buy-out, in LivEye GmbH. The management, consisting of Carsten Simons and the founder Marc Thurn, will remain with the LivEye Group and continue to manage it operationally in the future. The aim of NSC’s investment is to consolidate the market position of the LivEye Group and to further accelerate its dynamic growth. Financial details of the transaction will not be disclosed.
For NSC, this is the first deal since its establishment by NORD Holding Unternehmensbeteiligungsgesellschaft mbH (“NORD Holding“) in 2022, which will focus on transactions in the small cap environment. With NSC, NORD Holding is also expanding its business activities in this area. The Frankfurt team of NSC around Jan Markus Drees and Maximilian Finkbeiner is primarily responsible for the acquisition of the LivEye Group.
LivEye GmbH is active in the development and manufacture of video surveillance systems, which includes the rental and sale of video surveillance systems, as well as the provision of surveillance services with video technology and the trade in electrical engineering and software. It also offers camera systems for documentation purposes, surveillance systems for early fire detection, sensor technology and software for guarding risk zones. Due to the variety of video surveillance solutions and more than 200 customers in Germany, Poland, Austria and Switzerland, LivEye GmbH ranks as the fourth largest provider in Germany.
For the first time, the consulting team of SKYE PARTNERS, specialized in private equity, advises the team around Jan Markus Drees at NSC regarding the legal issues, due diligence, SPA negotiations and the rest of the transaction, which are necessary in the context of the acquisition of the shares in LivEye GmbH.
