SKYE PARTNERS’ private equity team provided legal advice to Invision on a secondyry buyout in N3K from VR Equitypartner GmbH (“VR Equitypartner“) and from MEH Beteiligungs GmbH. VR Equitypartner and also the management with Alexander Häcker and Christian Ehrenthal will remain (re-)invested in N3K.
The closing of the transaction is still subject to the approval by the German Federal Cartel Office. The parties have agreed not to disclose the terms of the transaction.
N3K is a fast-growing software network company that specializes in providing solutions for all facets of network management. N3K supports the respective companies with its core competence in specialized areas throughout the entire project cycle, from needs analysis to implementation and training. N3K has thus established itself as a leading provider in Germany and is now also active in the USA and Canada. N3K’s customers include 14 of the DAX 30 companies. Currently, the N3K Group employs approximately 60 people.

After a successful add-on transaction in the logistics sector this year, a team headed by lead partner Christoph O. Breithaupt has again advised Invision on the buy side. In addition to the M&A legal transaction advice (due diligence, SPA, SHA, etc.), the legal advice also included tax structuring and antitrust.
